Raiffeisen Bank has announced that it has completed the acquisition of 100% of the shares of the Garanti BBVA Romania Group, after obtaining all the necessary approvals from the competent authorities. The transaction means that Garanti Bank S.A. and the group's leasing companies come under the bank's control, having been taken over from the subsidiaries of Banco Bilbao Vizcaya Argentaria S.A. (BBVA).

The acquired group includes Garanti Bank S.A., the financial leasing company Motoractive IFN S.A., which operates under the Garanti BBVA Leasing brand, and the operational leasing company Motoractive Multiservices S.R.L., active under the Garanti BBVA Fleet Management brand. The acquisition therefore covers both the banking business and the financing and fleet management segments, two areas in which the three companies operate separately, under distinct brands.

The full integration of the two structures is estimated for the second half of 2027. Until then, the transition period involves coordinating operations, brands and internal systems. The available sources do not detail the interim timeline, nor any specific changes that customers might experience in the meantime.

The transaction takes place at a time when the banking and leasing markets in Romania remain attractive to foreign investors, and sector consolidations are closely monitored by authorities and market participants. By completing the acquisition, Garanti Bank, with its consolidated presence on the local market, joins the portfolio of Raiffeisen Bank, one of the most important financial institutions active in the country.

The completion of the transaction also marks an important step for BBVA, which exits its group structure on the Romanian market, after the divestment of the assets was conditional on obtaining regulatory approvals. For Raiffeisen Bank, the operation expands its footprint in Romania through an acquisition of significant size, with effects on how the group will organize its banking and leasing activities in the coming years.
