Carlyle and EBRD Agree to Sell Romania's Largest Offshore Gas Producer to Mazarine Energy
Tranzacție majoră pe piața energiei: Carlyle și BERD vând Black Sea Oil & Gas, unul dintre principalii producători de gaze naturale offshore din România. Cumpărătorul: Mazarine Energy

Global investment firm Carlyle and the European Bank for Reconstruction and Development (EBRD) have announced that they have agreed to sell Black Sea Oil & Gas S.A. and BSOG Holding Activity S.A., known together as BSOG, to Mazarine Energy B.V. BSOG is the largest offshore natural gas producer in Romania, and the transaction changes the ownership of one of the important players in the Romanian energy sector.

The transaction is subject to the usual regulatory approvals, which means that completion of the sale depends on the agreement of the competent authorities. The announcement did not specify the value of the transaction or a timetable for its completion, and in the initial statement neither the two sellers nor the buyer provided further details about plans for the company's activity after the takeover.

The context in which the sale takes place is important. Offshore producers in the Black Sea are among Romania's main sources of natural gas, and gas extracted from the offshore area feeds domestic consumption. Developments in production and prices in this segment directly influence the country's energy market, so capital movements in the sector are closely watched by companies and regulators.

Data published about OMV Petrom, one of Romania's major producers and traders of natural gas and electricity, shows recent market dynamics. In the third quarter of 2026, the company doubled its positive operating result in its sales segment, from 137 million lei in the third quarter of 2025 to 280 million lei in the same period of 2026. The same source notes, however, a decline in gas consumption, in regulated deliveries to household consumers and in stocks, while prices increased.

The combination of these trends suggests that the gas and energy segment remains profitable, even though volumes and market conditions have changed. For investors, assets that combine domestic production with commercial sales remain attractive, and the transaction between Carlyle, the EBRD and Mazarine Energy fits within this interest.

Completion of the sale will depend on regulatory approvals, the timing of which was not set in the initial announcement. Until then, BSOG remains under its current ownership, and questions about the company's strategic direction under the new shareholder can only be answered once the transaction is finalised.
